Externally inititated reset

I have an Ultra5 workstation, running Solaris 2.7 that seems to be doing
some odd things.
Every night, it seems to panic. I figured it was a CPU problem, so I
swapped out the CPU.
At first, the new CPU didn't boot at all, now it's booting to the ok>
prompt saying "Externally
initiated reset"...... I then moved the memory to the unoccupied memory
slots and it seems
to be working again. Does this sound like a motherboard problem or just
memory slot
that's bad?
